1. Acceptance of Terms

1.1 Your access to and use of arsystems.co.uk (“the Website”) and the Service outlined in Clause 2, are subject exclusively to these Terms and Conditions.  You will not use the Website or the Service for any purpose that is unlawful or prohibited by these Terms and Conditions.  By using the Website you are fully accepting the terms, conditions and disclaimers contained in this notice.  If you do not accept these Terms and Conditions you must immediately stop using the Website.

1.2 A R Systems reserves the right to update or amend these Terms and Conditions at any time.

2. The Service

2.1 A R Systems is an authorised UK distributor of DuoPly, a fleece reinforced EPDM flat roofing system.  The purpose of the arsystems.co.uk website is to provide information about DuoPly and to facilitate a referral service which puts the general public in contact with local independent companies who have completed the A R Systems training course.

2.2 Experienced local roofing companies who have been trained in the installation methods of DuoPly flat roofing systems are put in touch with Homeowners enquiring about the product through the enquiry form in the website.  Any quotations, contracts and/or warranties arranged will be between the homeowner and the installer (not A R Systems).

2.3 The aim of arsystems.co.uk is to promote quality service, workmanship and best practice among Installers of DuoPly thus providing members of the public with links to reliable, quality installers. The installer should offer a warranty on their workmanship and the product for 20 years.
Insurance backed guarantees area available through some installers.  Please speak to your installer about the options prior to signing any contracts.

2.4 Users of the service do hereby represent, understand and expressly agree that A R Systems does not make any warranty or guarantee over the quality, timing, integrity, responsibility, legality or any other aspect whatsoever of the materials or services offered or delivered by installers to their customers or homeowners.

2.5 All users do hereby expressly agree not to hold A R Systems (or A R Systems’ agents, representatives, advertisers or employees) liable for any instruction, advice or services delivered which originated through the Web Site or associated Services and A R Systems expressly disclaims any liability whatsoever for any damage, suits, claims, and/or controversies that have arisen or may arise, whether known or unknown therefrom.

3. Intellectual Property Rights

The Website and its content (including without limitation the Website design, text, graphics and all software and source codes connected with the Website and the Services) are protected by copyright, trade marks, patents and other intellectual property rights and laws. In accessing the Website you agree that you will access the contents solely for your personal, non-commercial use. None of the content may be downloaded, copied, reproduced, transmitted, stored, sold or distributed without the prior written consent of the copyright holder.

4. International Use

The purpose of this website and the Service provided is directed at United Kingdom homeowners only and AR Systems does not operate or supply services outside the United Kingdom.

5. Indemnity

You agree to indemnify and hold A R Systems and its employees and agents harmless from and against any breach by you of these Terms and Conditions and any claim or demand brought against A R Systems by any third party arising out of your use of the Services including without limitation, all claims, actions, proceedings, losses, liabilities, damages, costs, expenses (including reasonable legal costs and expenses) howsoever suffered or incurred by A R Systems in consequence of your breach of these Terms and Conditions.

6. Disclaimers and limitation of liability

6.1 Should a Homeowner have a dispute with an installer (or any of their Sub-Contractors), they must, in the first instance, address such dispute directly to the installer concerned.

6.2 A R systems would welcome any  feedback from a Homeowner concerning the installer and may at its sole discretion without being under legal obligation to do so, investigate any grievances held by Homeowners or installers, and may discuss any investigation with all involved parties.

6.3 In the event that a Homeowner has a dispute with one or more installers (or any of their Sub-Contractors), the Homeowner hereby releases A R Systems (and its agents and employees) from any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

6.4 Use of the Website/Service is at your own risk. The Website/Services are provided on an “AS IS” and “AS AVAILABLE” basis without any representation or endorsement made and without warranty of any kind whether express or implied, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.

6.5 To the extent permitted by law, A R Systems will not be liable for any indirect or consequential loss or damage whatsoever (including without limitation loss of business, opportunity, data, profits) arising out of or in connection with the use of the Website/Services.

6.6 A R Systems makes no warranty that the Website/Services will meet your requirements, that the Content will be accurate or reliable, that the functionality of the Website/Services will be uninterrupted or error free, that defects will be corrected or that the Website/Services or the server that makes them available are free of viruses or anything else that may be harmful or destructive.

6.7 Nothing in these Terms and Conditions shall be construed so as to exclude or limit the liability of A R Systems for death or personal injury as a result of the negligence of A R Systems or that of its employees or agents.

6.8 Nothing in these Terms and Conditions shall affect your statutory rights as a consumer.

7. Severance

If any of these Terms and Conditions should be determined to be invalid, illegal or unenforceable for any reason by any court of competent jurisdiction then such Term or Condition shall be severed and the remaining Terms and Conditions shall survive and remain in full force and effect and continue to be binding and enforceable.

8. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the law of England and you hereby submit to the exclusive jurisdiction of the English courts.
